Well, you need 4GB RAM for Win 8...
So I'd say that you could run it but with slowdowns and/or lag because of the lack of the RAM!
But if you upgrade, you should be able to run it up to medium but with a lower resolution than 720p!

I m big fan of UBISOFT action games.. specially farcry 1 is my hot favourite game.. although farcry 2 was suckkk.,.. so i m so much excited for FARCRY3....... cant wait for this... ubisoft plz dont extend date 😀

Well...keeping in mind that laptops aren't really for gaming, and your GPU isn't meant for gaming at all... I'd say on a max 720p resolution, but on lowest settings, if it's lagy try to downgrade the resolution.
The NVIDIA NVS 4200M is a GDDR3 card with 1GB of vram and a 64bit interface, and 64bit interfaces sadly are very weak for recent games.

For Windows 7 you need a minimum of 2gb RAM and a Dual Core CPU.
And to correct you...it doesn't matter that XP supports Shader Model 3.0...that's not the case. That isn't the factor that decides if the game works or not on XP. The developers decide that, not the GPU.

@Attila-13 i already tried windows 7 but all my old games start lagging ( my spec P4, 2gb ram, 320gb hard disk, 9500GT 1 Gb card, processor not duel core 3.2ghz) so i turn back to xp.. but you are absolutely right xp becoming dead. let me know is windows 7 required more ram than XP for gaming.."VGA: 512 MB DirectX 9.0c-compliant card with Shader Model 3.0 or higher" means game will support xp coz xp support shader model 3.0 but not support shader model 4. let wait and see 😀

There's a pretty big chance that XP won't have support...but let's be reasonable...XP it's pretty much becoming dead....And Windows 7 it's much more suitable for gaming.
But if you have the minimum requirements for this game I don't see the point to not switch to Windows 7.
